What you describe seemingly has all three elements:
1. You can buy chips for money, (even though you can also get chips for free),

3. Consideration, because you can take your chips and convert them into cash by bidding .....if the House is a market maker in the auctions, then that is even more of an issue. That the cash is subject to auction does not seem much of a defense.

In their T&C, it seems like they have a legit, postcard-style "No Purchase Necessary" option for the
paid tier of chips. So not only can you take the basic/free number of chips per month for free, you can also bypass the $20/month membership fee by mailing them something.
There are plenty of potential issues here, both legal and economic... but, at first look, I think their model is by far the best of all the sweepstakes/gimmick tweaks to poker and also the most likely to result in "serious" play-money games for players who are just looking to get some decent practice in. I expect the profitability of playing on the site to drop down pretty darn close to $0 pretty quickly, but the fact that the play money chips would, to some extent, still carry a positive, semi-linear value means that the higher-stakes games
could play at least modestly seriously.
