Jack Bauer is taking a day off between his days on, to experience an hourly breakdown of life on a cruise ship.
Batman is slumming it with the plebs instead of taking his private yacht. For some reason.
at sunset they both receive a note saying they have to kill the other one.

Batman (from a top 5 animated series of all time, not campy Adam West) is super intelligent and a great fighter in hand to hand combat or with weapons. He's crafty and can figure out ways to improvise and make weapons out of items on the ship and has ninja skills to not be detected by Jack until it's too late. He doesn't need high-tech weapons for this job; no batmobile or bat chopper is needed on a cruise ship. He's the world's greatest detective, and has the best powers of deduction combined with obsessive determination.
I also want to address the myth that he doesn't kill. Batman kills a good amount of villains in the comics, the movies and the tv shows, including on The Animated Series. He does have his moral code, but he does do it when needed; it gets overstated in pop culture that he doesn't kill. And going after a wild card who goes all torture-happy, including on innocent people, for one day a year like he's in The Purge would be someone that Batman would have no qualms taking out, especially if it's Jack or him.
Also I want to point out another MASSIVE advantage that Batman has over Jack in this scenario. Bauer won't even know what he looks like. He won't know that Bruce Wayne is Batman, so how will he even go after Batman? I know, I know, he'll torture everyone on the ship to find out who/where Batman is, but that just leaves him exposed. Besides, nobody else on this ship even knows that Batman is Bruce Wayne.
Bruce Wayne in this show is not the goofy billionaire playboy like in some of the movies, but rather the CEO of Wayne Enterprises. He is serious and spent time learning escape artistry from Zatara and is super skilled in multiple Japanese martial arts. He's spent years intensely training his body so he is super strong, fast, agile and durable. He has no super powers, yet was able to take on Superman and others with actual super powers. He won't need to do that here, as while Jack is strong and resilient, he's no superhuman and wouldn't match up to Batman in fighting or physical traits. Not that it matters, as Jack won't even see Batman coming.
Most likely way this ends is Batman drops down from the ceiling behind Bauer while Jack is torturing a tied-up Dora, trying to get info from her on where Batman is. Batman takes Bauer out before Jack can even remove the needle from Dora's throat and as Jack turns around to gasp out his final words, he'll see that Batman has already disappeared.

jack will beat the security guys, take their guns, and kidnap someone to force the security guys to watch all the cameras on the ship for batman, and radio jack all the info. then he'll shoot batman, torture him for information, bite him in the neck, throw him overboard, then torture every other middle eastern passenger on the ship too
