1) draw up concept
2) do no due diligence on proof of concept or business viability
3) take pre orders
4) pump stock on pre order news
5) never deliver but you are already rich

I would never accuse anyone of anything so vile. So let's see.

Have a read of their 2017 annual report.

They claim to have taken 64,000 paid deposits for a very ugly car that total greater than yesterday's market cap.

They have awarded 45 million stock options at $1/share.



This is substantially larger than the float.

They spent $10 million dollars in 2017...and produced 5 prototype cars. They had $10 million in assets at the end of 2017.

You think this is a legit business with 64,000 organic paid deposits for their very beautiful cars?

I know it is refundable - but there has to be some other detail like “not processing payment yet” or just outright fraud. FFS what are the requirements to get listed on NASDAQ?

Their ordering website is a single picture of a half-assed digital rendering. They claim they have 41,000 paid $1000 deposits for this. This is great stuff.

This company has roots as a manufacturer of replica car kits... who better to knock out a few convincing prototypes.

So dumb question - I am not a finance person.

If there are 45,000,000 options at $0.15 strike price - stock is currently $4.55... who pays when options are exercised? Are new public shares issued with each sale of optioned shares?

(Correct whatever terms I misused.. really asking how are stock options dumped off?)

Interesting about the replica thing. Looks like quite a straightforward short given what we know.

As for how the options work, the company gives them newly minted shares when they choose to exercise the option - they pay $0.15 to the company, get a share, which they can then sell on the open market for $4.55. Insiders in SOLO have got the entire float optioned several times over.

It's something that Tesla does as well on a much smaller (and legitimate) relative scale, and contributes to their bottom line. They have extremely generous stock options for execs, far higher than most S&P 500 companies even...when the exec exercises, they pay the strike price (say, $200), this money goes to company as pure income and they mint a new share, which the exec can then sell on the open market. The shareholders essentially pay staff retention costs. I think Tesla has wracked about $1.7 billion of these at last count.

Most of the executives who left left behind large option bonuses of this nature, about to vest, including 10s of million in options across the accounting team who quit. Kind of weird for a company about to post a record and enduring profit, no?

Quarterly and execs have to file a form 4 whenever they make equity moves


I called it out before but diluted shares skyrocketed 8m shares in 3q
