yes all relevant filings have exec comp.

I was talking specifically about the 6K for merger announce.

Please review this and share Rafi's comp. How much of his TSG comp plan package was vested? Accelerated? What is his new employment contract look like. What else was he given. Options? RSUs? I dunno. I'm guessing he does. He was key figure in negotiating sell price. If you dont see the conflict of interest in that then I can't help you.

6K is all shareholders have to go on for the time being, until normal Qs and Ks come out

What are the ramifications of this deal on the possibility of finally green lighting online poker in the US again? A bigger conglomerate with an incentive to spend a few bucks to lobby the government?

Not a meaningful amount, as long as gambling opponents whether they be casino interests, morality police, or just straight up bribing, I mean campaign donations are lined up against bill passage in the largest most meaningful states, no, we are still screwed.

They don't do that in poker so saying this is just dumb.

Don't forget the main reason they are against poker. There is nothing elites hate more than the lower classes having an avenue for meritocratic self determination. They want eternal wage slaves, obedient workers, and less competition for capital building and passive income acquisitions. Kill them all...

Only because they don't have any kind of Monopoly. Poker Stars will merge Befair/Paddy Power and Sky poker clients plus the business model I would expext them to go for the grab.

If you truly have direct PubCo M&A experience as you previously claim. Then you should know how to use EDGAR. Form 6-k is not "all shareholders have to go on." Go back to EDGAR and pull Stars' Management Information Circular and look under the heading "Statement of Executive Compensation." I don't know exactly what your direct experience with PubCo M&A is/was, but your lack of knowledge when it comes to PubCo filings indicate you actually don't have the direct experience you claim to have.

Of effing course you can pull up current comp packages for any officer of a public company . Its in numerous filings.

THAT IS NOT WHAT I AM TALKING ABOUT (please read that line 2-3 times and let it sink in)

I am talking about comp package TSG CEO was OFFERED from Flutter as part of merger (PLEASE READ THAT 2-3 TIMES AS WELL, THEN READ IT FOUR MORE TIMES). Exactly where can I find the details on that?

Im done with this derail and give myself 10 infraction points for engaging. And yes you've proven you are GOAT for all things about public companies. grats.

When it comes to Rafi's new comp as COO of the new combined Flutter; you need not worry as Flutter shareholders will also have to approve the merger and Rafi's new comp will be fully disclosed. If you believe he is receiving tens of millions of dollars simply for negotiating this merger, that's just not true. Go back to the Management Info. Circular I referenced previously and it clearly states that Rafi gets 1.5x his salary if/when a change of ownership occurs at Stars. His salary was about 1 million, so let's call it $1.5 million that he receives because of this merger. And, that was negotiated when he became the CEO of Stars: which is very normal course for PubCO CEO's. I think you need to check your bias and review the facts.

Just because Flutter is not required to disclose Rafi's new COO comp package at this time does not mean something nefarious is going on. It will be disclosed when they are required to disclose it. More importantly; Flutter shareholders will have their opportunity to vote on this deal.

Both the brands in Flutter (PP and B) have a poker offering. They know full well the potential that poker offers.

Here's a wildly optimistic scenario which is somewhat plausible and might make 2p2 members happy if it comes to pass:

a) While the vast body of former PokerStars staff who helped build the brand have left the company, there's probably still some sort of institutional knowledge about how to run a poker site left there.

b) Paddy Power Betfair seems to be good at running online sports betting and/or casino operations (and some live gambling etc). They don't seem to be so good at running poker.

c) Once the world's largest online gambling company purchases PokerStars, it is possible that the poker people at PokerStars will run the poker games, instead of trying to run the sports betting and casino games - because the people from PPB are demonstrably better at it

d) It's difficult to imagine a combined post-merger PPB/Stars looking for even more acquisitions, since they haven't even digested their Stars/Skybet, PP/B mergers yet, let alone the new, combined, merger.

e) Thus, the two companies might stop with all this financial maneuvering, and instead, focus on their actual product

The combination of (c) and (e) might mean that the poker product is better off.

I think this is a low probability, but plausible, best-case scenario.

Im sorry for you but Ukraine etc is like 90% barely winning nitregs which make games horrible, never understood why pokersites aren using the Nitregbot Countrys and let them fill their MTTs and just ban them from chasgames.

Ukraine, Russian and Belarus players are fun ... they are quite "soft" to play with (mostly)... actually I'm from Poland and actually PS, PP and some others accept players from Poland but not BetFair so, i just wonder if it will be needed from me to move somewhare to play since i play the most on PS.
