Both parties are dumb to have not spelled things out in a contract though. The purpose of a contract is to make sure both people understand the deal as much as for legal bindingness.
Are you even reading the totally valid points being made here? Your boy, (or you Zach) simply decided to keep 4K because he (or you) is broke. Once he received $8500 from Tomas, he no longer owned the 16K in the FTP account. So to keep 4K of that money is straight up theft. There's no mis-communication. Address the valid points or gtfo.
Along the same lines, there's no argument that "he should be happy he got 12K out of 16K". Him getting a % of what's owed is completely invalid. Tomas owned the $16,000 in the FTP account and Zach stole $4,000 of it, pure and simple. Posting here on 2+2 and discrediting Zach's name is CLEARLY Tomas' last resort, especially when Zach puts in the "non-negotiable" clause.
