Pokerstars Big 3.30 --- Blinds 300-600

UTG shoves approx 5 BB from UTG all in
Villian in Cut off Flats with 34 BB
I am on Button holding A4ss
Is this an easy fold? Easy call? Easy 3 bet?
Please help.
Spot stumped me even though it was for a small percentage of my stack (I had about 40k).

Let me know your thoughts

Against unknown opponents I'd 3 bet most of the time and occasionally call and play in position.

You're way ahead of a 5BB UTG shove range, even if they have a bigger A you're not in super terrible shape with around 31%. CO will fold often enough to your 3bet adding some extra dead money, remember you threaten their entire stack and you have position.

If you get 4 bet you can easily let it go or even consider a 5 bet bluff (although probably not worth the high variance play in a $3.30 tournament).
If they call, you have position.

Side note, if UTG is shoving a generously tight range of any broadway and any pair, A4s is 46% to win.

Thanks man I like the logic behind this. I did make the fold but I thought a 3 bet was my best move after the fact as well. I hated just flatting there that was clearly the worst option. My main reason for folding was that CO was very loose...so I am likely ahead of his calling range for the shove I just didn't want him to rip something stupid in and have to let it go. Elected low variance route but in retrospect i should be attacking on the button with that strong a holding in that spot.
